The Service

We Handle the Company Closure Process for You

You do not need to coordinate accounting, tax matters, liquidation documents, government filings and post-closure tasks separately. YOUYI manages the closure under one coordinated service plan.

Pre-closure review

We review registration, accounting, tax, employees, assets, liabilities, bank accounts, customs, permits and unresolved compliance matters to identify what needs attention.

Accounting and tax cleanup

We coordinate outstanding bookkeeping, tax returns, invoice matters, tax payments and historical accounting or tax issues that need to be addressed before the relevant closure filings.

Liquidation documents and procedures

We prepare and coordinate the applicable dissolution decision or corporate approval, liquidation documents, creditor procedures, applicable notices or announcements and supporting materials.

Tax clearance

We manage tax deregistration preparation, filing coordination and follow-up, including outstanding returns and tax matters identified during the closure review.

Business license deregistration

We prepare and submit the deregistration materials and follow up with the registration authority through the business license cancellation stage.

Post-closure coordination

We coordinate remaining matters involving bank accounts, customs registrations, permits, social insurance, company chops, records and other registrations.

Common Situations

When Companies Come to Us for Deregistration

We build the closure plan around the issues your company actually faces.

  • The company has already stopped operating, but tax, banking or other registrations remain open
  • The foreign investor is exiting the China market
  • Historical accounting or tax issues need to be resolved before closure
  • A foreign group is restructuring or consolidating its China operations
  • Customs or import-export registrations remain on record
  • Permits or compliance issues remain unresolved
The Distinction

General and Simplified Deregistration

You do not need to determine the route yourself. YOUYI reviews the company's actual status first and identifies the appropriate closure path.

The standard closure route

General Deregistration

This route commonly involves the applicable dissolution decision or corporate approval, liquidation arrangements, creditor procedures, settlement of assets and liabilities, employee matters, tax clearance, a liquidation report and a deregistration application. The steps depend on the company's circumstances.

Conditional, not automatic

Simplified Deregistration

Not every company qualifies. Eligibility depends on the applicable conditions, including debts, taxes, employees, assets, litigation, investments, permits and investor commitments. The relevant authorities assess applicability. The simplified deregistration public notice period is generally 20 days; this is not the total time required to complete company deregistration.

Where statutory liquidation applies, creditor notification and public announcement procedures must be handled in accordance with the applicable rules. Where a company cannot pay its debts as they fall due and its assets are insufficient to cover its liabilities, ordinary deregistration is not the applicable route; a court-led bankruptcy liquidation process may apply instead.

Responsibility Split

You Provide the Company Records. YOUYI Handles the Process.

You do not need to determine the deregistration route in advance. Send us the basic company information and current operating status; we review the case and identify what remains open.

Company Deregistration Scope & Quote

No fixed public price. Quotation depends on operating history, accounting/tax status and open matters. These are the factors that move it.

  • Operating history — active, dormant, or already stopped operating
  • Accounting and tax status — complete, outstanding or historically unresolved
  • Employees and liabilities — whether settlement is required
  • Customs and permits — registrations that remain open
  • Route eligibility — general or simplified deregistration
What you receive

A defined closure scope

Send the company name, city, current operating status and available records. YOUYI then returns:

  • the closure readiness review
  • the recommended route
  • the document checklist
  • the proposed service scope
  • the preliminary quotation
Workflow

From Initial Review to Company Closure

YOUYI manages the work sequence, required documents, submissions and follow-up. The exact order can vary according to the company's tax, customs, employee, banking and permit circumstances.

01

Company Status Review

Review operating history and identify outstanding accounting, tax, employee, asset, liability, bank, customs and permit matters.

02

Deregistration Plan

Assess the appropriate closure route and prepare the document list, work sequence and service scope.

03

Outstanding Matters Resolved

Coordinate the accounting, tax, employee, creditor, asset and other open items required before the relevant deregistration steps.

04

Liquidation & Tax Clearance

Prepare and coordinate the applicable liquidation documents and manage tax deregistration preparation, submission and follow-up.

05

Deregistration & Post-Closure

Prepare and submit the business deregistration application and coordinate remaining bank, customs and permit matters.

Before You Start

Issues to Resolve Before the Company Can Close

Three points that shape how a company closure runs.

01

Closure is more than cancelling the business license

Formal company closure normally involves the applicable dissolution decision or corporate approval, liquidation and settlement, and deregistration with the registration authority. Stopping operations or having a license revoked does not itself complete deregistration.

02

Creditor procedures are not optional where they apply

Where statutory liquidation applies, creditor notification and public announcement procedures must be handled in accordance with the applicable rules, together with recording creditor claims and reviewing liabilities before final distribution and deregistration.

03

Insolvent companies need a different route

Where a company cannot pay its debts as they fall due and its assets are insufficient to cover its liabilities, ordinary deregistration is not the applicable route; a court-led bankruptcy liquidation process may apply instead.

Buyer Questions

Frequently Asked Questions About China Company Deregistration

Can YOUYI handle the entire company deregistration process?

Yes. YOUYI provides a full-service company deregistration service covering status review, closure planning, document preparation, accounting and tax coordination, liquidation procedures, tax clearance preparation, business deregistration filing and applicable post-closure coordination. The exact scope is confirmed after reviewing the company's current status.

My company has already stopped operating. Do I still need to deregister it?

Stopping business activities does not itself complete company deregistration. Existing tax, accounting, annual reporting, banking, customs, employee or permit matters may still need to be resolved before the entity is formally closed. YOUYI reviews what remains open and prepares the closure plan.

Can you handle historical accounting or tax problems before deregistration?

Yes. We review the accounting and tax position and identify outstanding items, including returns, tax payments, invoices, late-payment charges or penalties. We build the required cleanup into the work plan before the closure filings proceed.

Does my company qualify for simplified deregistration?

Not automatically. Send us the company information first. YOUYI reviews its actual status, checks the applicable conditions and identifies the appropriate route. Simplified deregistration is not available automatically; eligibility and filing requirements remain subject to the relevant authority's assessment.

How long does company deregistration in China take?

There is no single duration for every company. Timing depends on company status, historical accounting and tax records, employees, liabilities, liquidation and creditor procedures, required documents, customs or permits, bank accounts and authority processing. YOUYI provides a case-specific timeline after the initial review.

What happens to bank accounts, customs registrations and permits?

We review these items as part of the closure plan and coordinate applicable bank-account closure, customs or import-export deregistration and permit cancellation. The sequence and documents depend on the company's registrations and the relevant authority or bank procedures.

How much does company deregistration cost?

The cost depends on operating history, accounting and tax status, employees, outstanding liabilities, customs registrations, permits and unresolved compliance matters. YOUYI first reviews the company status, then provides the proposed service scope and preliminary quotation.

How do I start the company closure process?

Send us the company name, business license, current operating status and available records, together with any known accounting, tax, employee, bank or compliance issues. YOUYI reviews the information and provides an initial closure plan, document checklist, next steps, preliminary service scope and quotation.
