01
Start with the Annual Checklist
Begin with complete accounting records, enterprise annual-report information, annual enterprise income-tax reconciliation and accurate company information. Then identify the employment, licence, customs or information-update items that fit the company. A foreign-invested company should also prepare the relevant foreign-investment annual-report information.
Assign a person to gather each set of records, check its accuracy and confirm who is responsible for submission. Keep a record of what was filed and what remains outstanding. Preparation happens before filing. This page is that preparation list, not a description of an annual compliance engagement.
02
Core and Conditional Checks
Core items apply to the annual cycle itself. Conditional items depend on how the company actually operated. Leave inapplicable items out of the file rather than forcing every company through the same list.
Core preparation
- Bring accounting records and financial data up to date
- Prepare the previous year’s enterprise annual report
- Prepare foreign-investment annual-report information
- Prepare annual enterprise income-tax reconciliation
- Review company registration information for accuracy
Conditional checks
- Staff: reconcile payroll, individual income-tax withholding and social insurance
- Regulated activities: review the licences and permits actually held
- International trade: review applicable customs and trade reporting
- Ownership or beneficial-owner changes: check the separate update rules
- Other company changes during the year
03
Accounting Records and Financial Information
The annual cycle relies on complete accounting records and financial information. Reconcile the year-end figures with the underlying records before using them in reports or tax work. Keep supporting information organised so differences can be explained and corrected.
Annual enterprise income-tax filing may require financial statements and related information under the applicable tax rules. Year-end financial reporting and audit are a separate step under the PRC Company Law; YOUYI can coordinate the records and the process with your auditor.
Monthly bookkeeping is the source of those records. It is not restated here. If the monthly file is incomplete, annual preparation starts from that gap. The monthly workflow is explained in the accounting and tax compliance guide, and the commercial monthly service is Accounting and Tax Compliance.
04
Enterprise Annual Report
Companies submit the previous year’s enterprise annual report through the National Enterprise Credit Information Publicity System. The reporting period is generally 1 January to 30 June. Check the current year’s official filing notice before submission.
Prepare the report from the company’s records and review the information before filing. Confirm who will submit it and retain the submission record. The enterprise annual report and annual tax reconciliation are separate obligations, even though some underlying financial information may overlap.
05
Foreign-Investment Annual-Report Information
Foreign-invested enterprises also report foreign-investment annual information through the annual-report system. The current “multiple reports in one” framework integrates relevant foreign-investment and FDI stock-interest information.
Check that the information prepared for this part of the report agrees with the company’s ownership and financial records. This is a high-level preparation check. It does not replace a review of separate foreign-exchange matters arising from particular transactions.
06
Annual Enterprise Income-Tax Reconciliation
Resident enterprises generally complete annual enterprise income-tax reconciliation within five months after the end of the tax year. For a calendar-year company, this normally corresponds to the end of May.
That window is not the 30 June annual-report window. Start with clean year-end accounting records and identify the supporting information needed for the tax calculation. The two filings can share figures. They are not the same submission.
Enterprise annual report: generally 1 January to 30 June
CIT reconciliation: generally within five months after the tax year
- A calendar-year company normally reaches the tax window at the end of May
- Prepare each file before its own deadline
07
Changes, People, Licences and Trade
Company changes during the year
Annual compliance is not the only time to update company information. Changes to shareholders, ownership, the legal representative, registered address, business scope or other registered particulars may require action when they occur. They do not all follow one identical procedure. Compare the current records with changes agreed during the year and identify anything still unresolved. The update route is company changes.
Beneficial-owner information
Beneficial-owner filing is separate from an annual recurring report. Covered entities generally handle the initial filing during establishment. When beneficial-owner information changes, or an entity no longer qualifies for an applicable exemption, an updated filing is generally required within 30 days. Do not postpone a required update until the next annual-report season, and do not assume a fresh beneficial-owner filing is required every year without a change.
Employment records, if the company has staff
For an employer, reconcile payroll, individual income-tax withholding and relevant social-insurance records as part of year-end preparation. Check that the records used by the people handling payroll and accounting are consistent. These checks depend on the company’s employment situation. They are not proof that every foreign-invested company has employees or the same payroll obligations.
Licences, permits and international trade
For regulated activities, review the licences and permits the company actually holds. Check validity, renewal and reporting requirements without assuming that every licence renews annually. For companies engaged in import, export or customs-regulated activities, review the customs, trade or related reporting items that apply. Keep these conditional checks visible, and leave inapplicable items out.
08
Common Omissions and the Filing Handover
The failures below are preparation failures. They show up when the file is assembled late, or when one deadline is used for every item.
- Report information does not match current company records
- Ownership, address or legal-representative changes remain unresolved
- Accounting records are incomplete when tax reconciliation begins
- Employment, permit or customs items are forgotten
- Annual compliance is treated as one submission with one deadline
For the handover, gather the accounting records, financial statements, filing history, company information, annual-report data and a summary of changes. Add the supporting records for conditional items. Mark missing information and assign responsibility before work starts.
