GuideWFOE Explained for Foreign Investors

What Is a WFOE in China? Structure, Requirements and When to Use One

This guide explains how a WFOE is structured and prepared for registration in China.

  • Informational guide
  • 7 chapters
  • Shanghai-specific notes included

This guide covers

  • who can invest
  • what to decide before filing
  • the documents and information to prepare
  • the registration process in sequence
  • Shanghai-specific notes
  • what follows the business licence

Key Takeaway

Decide These Before You File

A WFOE lets overseas investors sign contracts, invoice and hire staff through a local China entity. Business scope wording, registered address and capital planning made before filing determine how smoothly the registration and post-licence setup move forward — whether a filing is ultimately accepted rests with the registration authority.

01

What Is a WFOE, and Who Can Invest

A WFOE is a foreign-invested limited liability company that allows overseas investors to operate in China through a local entity, sign contracts, issue invoices and hire staff.

Investors usually consider a WFOE when they need local contracts, RMB invoicing, China staff, import-export activity, consulting income, manufacturing or long-term China operations.

The investor behind a WFOE can be a foreign individual or an overseas company. An individual investor is a natural person and provides personal identity and passport information; a corporate investor is an overseas company and provides its own registration and ownership documents instead. The information to prepare differs between the two, and the exact set depends on the investor type and the proposed company setup.

Registering or owning the company does not by itself grant the investor a work permit, residence status or visa — those are separate matters to plan on their own terms.

Foreign individual shareholder

  • Passport information & address details
  • Clear legal-representative & finance-contact role

Overseas company shareholder

  • Registration certificates
  • Authorized signatory documents & ownership information

02

Ownership, Structure & Decisions Before Filing

Before anything is filed, the shareholder or shareholders, their ownership and their roles in the company need to be settled. Structure also matters at the earliest stage because a WFOE is normally used for business operations and revenue activity, while other foreign presences are more limited. If you are still choosing between them, read the WFOE vs representative office comparison.

Most delays come from decisions made late rather than from the filing itself. Settle these first:

  • Proposed company name, with alternatives ready
  • Business activities and scope, matched to what the company will really do
  • Shareholder structure and who holds which role
  • City and district where the company will be based
  • Registered address option
  • Capital planning for the proposed business
  • Whether special permits may apply to the planned activity

Business scope deserves the most care.

  1. Describe the activities in terms of what the company will actually sell or provide.

  2. A scope that is too narrow can leave planned activities uncovered, while one that is too broad can raise questions and may pull in permit requirements the business does not need.

  3. Where the activity may need a permit, look at that before the scope is finalised, not after.

03

Registered Address, Capital & Responsible Roles

Registered address

  • Must fit the planned activity and any future permit needs
  • See registered address arrangements

Registered capital

  • Reflects the proposed business and operating needs
  • No single figure fits every company—confirm current requirements

Responsible roles

Registration materials also name the people responsible for the company.

Prepare legal representative information; director, supervisor or other governance information where applicable to the chosen company structure; and finance and contact-person details.

Roles that are unclear when materials are prepared tend to cause corrections later.

04

The WFOE Registration Process

Registration Process in Sequence

A typical registration moves through six stages. The exact steps depend on the activity, the location and the requirements at the time, and timing varies.

  1. 01Confirm investment and structure
  2. 02Prepare name, activities and address
  3. 03Prepare shareholder and responsible-person information
  4. 04Prepare and submit registration materials
  5. 05Complete business-registration steps
  6. 06Handle post-licence setup

05

Documents and Information to Prepare

This is a preparation list, not a legal checklist. The exact set depends on the investor type and the proposed company setup.

Passport and registration documents prepared on a desk
01

Investor Documents

  • Investor identity or registration documents
  • Ownership information for each shareholder
Advisory meeting reviewing company roles
02

Responsible People

  • Legal representative and governance information
  • Contact and finance-person details
Office building entrance in Shanghai
03

Registered Address

  • Registered address materials
Planning documents on a desk overlooking Shanghai
04

Business Scope

  • Business scope draft
Business licence and permit binders on an office desk
05

Permit Notes

  • Licence-related product or service notes, where the activity may need a permit

Before you submit, ask: Does the scope match the real business model? Can the address support the planned activity? Has bank account preparation been started early enough?

06

Shanghai Notes & After the Business Licence

Shanghai registration should be planned around the operating model, the address, the tax set-up and the investor's future permit or banking needs. Registration is the start, not the end—not every step below applies to every company.

Shanghai Notes

  • Shanghai FTZ & Waigaoqiao: often considered by trading and service companies wanting practical import-export coordination
  • Pudong & other districts: reflect address, banking preference and tax set-up

Activities & Contacts

  • Common activities: trading, consulting, manufacturing, services—some need permits
  • Accounting/tax contact: name one before registration

After the Licence

  • Bank account: a separate process, not guaranteed by registration—see bank account preparation
  • Tax & fapiao: set up according to status and activity

Setup services are described on the Shanghai Company Registration page (including FTZ locations).

07

Common Preparation Mistakes

  • The business scope is too broad or too narrow for the actual operations
  • Address planning starts late, or the address does not fit future permit needs
  • Bank account preparation is left until after registration
  • Permit requirements are considered only after the company is set up
  • Tax and accounting set-up is not connected to the actual revenue model
  • Records are incomplete once operations begin
